Please read carefully. This notice includes a binding arbitration clause, a jury trial waiver, and a class action waiver that affect your legal rights.

  1. Mandatory Arbitration. Except for the claims and remedies listed in Section 19.10, each Dispute must proceed through binding individual arbitration.
  2. Waiver of Rights. By accepting these Terms, you waive the right to:
    • Participate in a class action, collective action, consolidated action, or other representative proceeding;
    • Have your case heard by a jury;
    • Pursue any court proceeding outside of small claims court, except as expressly provided below.
  3. 30 Day Opt-Out Option. You can opt out of the Arbitration Agreement within 30 days after you first accept these Terms. Section 19.11 explains how to opt out.
  4. Time Limit on Claims. The limitations period that applicable law provides governs each claim. See Section 19.13.

You accept the Arbitration Agreement, jury trial waiver, and class action waiver when you accept these Terms.

If you do not agree, do not create an Account or place an order.

3. General Terms and Conditions

3.1 Acceptance of Terms

You agree to these Terms when you expressly accept them, create an Account, or place an order through the Services. These Terms form a contract between you and PatchAid. If you do not agree, do not take an action that requires acceptance of these Terms.

Use of a public page without an Account or purchase does not, by itself, show acceptance of these Terms. Separate notices or policies can still govern that use.

3.2 Incorporated Policies

The following policies apply to the subject that each policy covers:

The version presented when you place an order or enroll in a program applies to that transaction. A specific policy controls its subject.

Section 19 controls dispute resolution unless a later agreement that you expressly accept states a different dispute process.

3.3 Changes to Terms

Section 22 explains how we can change these Terms. A change does not apply to a Dispute that arose before the change took effect.

3.4 Eligibility and Capacity

To use our Services, you must be at least 18 years old or the age of majority in your jurisdiction, whichever is greater. By using our Services, you represent and warrant that:

  • You are of legal age to form a binding contract with PatchAid;
  • You have authority to accept and obey these Terms;
  • The information you provide to us is accurate and current; and
  • You are not prohibited from using the Services under the laws of your jurisdiction.

3.5 Electronic Signature Compliance

Your electronic acceptance of these Terms shows your intent to enter this agreement. An electronic record or signature has the effect that applicable electronic-signature law gives it.

3.6 Account Responsibility

If you create an Account, you must protect your password and restrict device access. You are responsible for activity under your Account.

Notify us promptly after you discover unauthorized Account use.

3.7 Entire Agreement

These Terms and the policies in Section 3.2 form the entire agreement about the Services. They replace earlier agreements and statements about the same subject.

3.8 Language and Interpretation

These Terms are written in English. We can provide a translation for convenience. If versions conflict, the English version controls to the extent that law permits.

Section headings help navigation and do not change the meaning of a provision.

3.9 Dispute Resolution Preview

Section 19 governs Disputes. It includes individual arbitration, a jury trial waiver, a class action waiver, and a 30 day opt-out right.

3.10 Severability

If a provision is unenforceable, the decision-maker will limit or remove only the necessary part. The rest of these Terms will remain in effect.

3.11 Force Majeure

PatchAid will not be liable for a failure or delay caused by an event beyond its reasonable control. These events include:

  • Natural disasters, severe weather, fire, flood, and acts of God;
  • War, terrorism, riots, civil unrest, and labor disputes;
  • Acts of government, embargoes, product restrictions, and changes in law or regulatory guidance;
  • Public health emergencies and pandemics;
  • Supply-chain, carrier, or supplier disruptions and raw-material shortages or quality issues;
  • Transportation network disruptions;
  • Cybersecurity incidents that reasonable safeguards cannot prevent;
  • Internet, telecommunications, power, or digital payment system failures.

Our affected duties pause during the event. We will try to resume performance promptly.

If we cancel an order because of the event, we will refund the amount charged for the unprovided Product or Service.

3.12 Waiver of Rights

Our failure to exercise or enforce any right or provision of these Terms does not constitute a waiver of that right or provision. No waiver of any term is deemed a further or continuing waiver of that term or any other term.

3.13 Assignment

You cannot transfer these Terms or your rights without our written consent. We can transfer our rights in a merger, reorganization, financing, or asset sale.

3.14 Feedback and Submissions

If you submit comments, ideas, or feedback, you agree that we can use them without restriction, attribution, or compensation.

3.15 Third-Party Beneficiaries

These Terms do not create third-party beneficiary rights. A named payment, messaging, or platform provider can enforce a provision that expressly benefits it.

3.16 Survival

Terms that must operate after termination will remain in effect. These include ownership, warranty, indemnification, liability, dispute, and resale provisions.

4. Health, Product, and Safety Disclaimers

4.1 No Medical Advice

Information from PatchAid is for general educational purposes. It is not medical advice, diagnosis, or treatment. It does not create a healthcare-provider relationship.

Ask a qualified healthcare professional about personal health questions. Do not delay professional care because of information on the Services.

4.2 Wellness Purpose

PatchAid Products are wellness patches for external use. They are not intended to diagnose, treat, cure, mitigate, or prevent disease.

PatchAid does not state that the Products have FDA approval, clearance, registration, or endorsement. User statements describe personal experiences and are not PatchAid claims.

4.3 Product Warnings and Directed Use

Use each Product only as its label directs. Do not use a Product after its expiration date or if its package is open or damaged.

Keep Products away from children. Ask a qualified healthcare professional before use for a child, during pregnancy, or while nursing.

Ask a qualified healthcare professional before use if you take medication or receive care for a diagnosed condition.

4.4 Safe Use

Skin products can cause irritation or an allergic reaction. Stop use and remove the Product if irritation or another unwanted reaction occurs.

Get medical care if a reaction is severe or does not improve. Nothing in these Terms limits a liability or consumer right that law does not permit us to limit.

4.5 Individual Results and No Guarantee of Outcomes

Individual experiences differ. We do not promise a specific wellness, weight, fitness, performance, or other result.

4.6 Product Descriptions

Product names and descriptions identify the Product and its intended wellness purpose. They do not promise a medical result.

If a Product page conflicts with the Product label, obey the label. Contact us before use if you need help with a conflict.

4.7 Accuracy of Product Descriptions

We use reasonable care to keep Product information accurate. Product details can change because of changes to materials, suppliers, or production.

Read the label that comes with the Product. Contact us before use if the label and the Services contain different material information.

4.8 Sensitivities and Allergies

Read the Product label before use if you have a known allergy or skin sensitivity. Do not use a Product that contains a material that affects you.

4.9 External Use

Products are for external use only unless the label expressly states a different use. Do not ingest a Product.

4.10 Medication and Health Questions

Ask a qualified healthcare professional before use if you take prescription or nonprescription medication. PatchAid does not assess whether a Product suits your personal health needs.

4.11 Pregnancy and Nursing

Ask a qualified healthcare professional before use if you are pregnant, nursing, or planning a pregnancy.

4.12 Surgery and Skin Care

Do not apply a Product to a recent surgical site. Ask a qualified healthcare professional before use if surgery affects the planned application area.

4.13 Application to Skin

Apply a Product only to clean, dry, intact skin. Do not apply it to broken, irritated, infected, or recently treated skin.

Do not wear a Product longer than its label states. Stop use if the Product causes irritation, a rash, pain, swelling, or another unwanted reaction.

References to research are for general educational purposes. They do not promise that a Product will produce a particular result for you.

4.14 Emergency Information

If you experience a medical emergency related to your use of our Products, contact your local emergency services immediately. Our Services are not designed to handle emergencies or urgent health needs.

5. Account Management and Security

5.1 Account Creation

Some Service features need an Account. You must give accurate, complete, and current information. You must keep that information current.

We can examine the information. We can suspend or end an Account that contains false or misleading information.

5.2 Password and Security Responsibilities

You must protect your login credentials. Use a strong, unique password and multi-factor authentication when it is available.

Notify us promptly if you suspect unauthorized Account use. We can disable the Account or need a password reset to protect it.

To the extent that law permits, we are not liable for losses caused by your failure to obey these security duties.

5.3 Prohibited Account Activity

You must not use the Services to:

  • Violate a law or another person's rights.
  • Disrupt the Services or their security.
  • Get unauthorized access to a system or network.
  • Use a bot, scraper, or automated process without our written permission.
  • Purchase Products for unauthorized commercial resale.

5.4 Account Suspension and Termination

We can suspend or end your Account if you violate these Terms or engage in fraud or unlawful activity.

We will give reasonable notice unless prompt action is necessary to protect users, the Services, or legal compliance.

When the Account ends, your access stops. Our Privacy Policy and applicable law govern the deletion of Account information.

Our Return Policy and applicable law govern refunds.

6. Privacy and Data Protection

6.1 Privacy Policy

Our Privacy Policy describes the personal information that we collect, use, and share. It also describes your privacy rights and choices.

By accepting these Terms, you acknowledge the practices in the Privacy Policy. Your acknowledgment is not consent when law requires separate consent.

6.2 Security Measures

We use reasonable administrative, technical, and physical safeguards that fit the information and the risks. No system can eliminate all security risks.

6.3 Data Retention

Our Privacy Policy describes how long we keep personal information and the criteria that we use to determine retention periods.

Back to Table of Contents

7. Electronic Communications and Text Messaging

7.1 Consent to Electronic Communications

When you give us electronic contact information, you consent to receive transaction and account communications electronically. An electronic notice satisfies a writing requirement when law permits.

We send marketing text messages only after you give the separate consent that Section 7.2 describes.

7.2 Text Messaging (SMS and MMS) Program

By enrolling in or using our text messaging program, you agree to these SMS terms. By opting in, you consent to receive recurring automated marketing and transactional text messages from or on behalf of PatchAid at the mobile number you provide. Messages may be sent using an automatic telephone dialing system or other automated technology and are delivered through our third-party messaging provider. Messages may include transactional content, such as order updates and account alerts, and promotional content, such as special offers, product launches, and cart reminders.

Your consent is not a condition of any purchase, and participation is voluntary. Message frequency varies. Standard message and data rates may apply. Check with your carrier for details.

To opt out, reply STOP to any message. For help, reply HELP or contact us at hello@patchaid.com. We are not responsible for delayed or undelivered messages, and carriers are not liable for message delays or failures. If your mobile number changes, you must re-enroll to continue receiving messages. If your number is on a Do Not Call registry, your opt-in consent still allows us to message you as permitted by law. We may change or discontinue the text messaging program or any of its features at any time. Continued participation after a change means you accept the change.

Our Messaging Terms govern the program. The Messaging Privacy Policy and our Privacy Policy describe the program's data practices.

8. Purchases, Pricing, and Order Acceptance

8.1 Product Descriptions and Availability

We use reasonable care to provide accurate Product descriptions, prices, and availability. Errors can occur, and your device can display colors differently.

If a Product materially differs from its description, contact us promptly. Our Return Policy and applicable law govern the available remedy.

8.2 Payment Methods and Payment Terms

Payment is due at purchase. We accept the payment methods listed at checkout.

You state that you have authority to use the payment method. You authorize us to charge it for the purchase.

You must give accurate and current payment information. We can suspend or cancel an unpaid order or Subscription after we notify you.

8.3 Pricing, Errors, and Order Acceptance

Prices are in U.S. dollars unless we state another currency. We can change a price before you place an order.

A Product can have an incorrect price or description. We can correct an error and decline, cancel, or limit the affected order.

We can limit quantities by person, household, Account, payment method, or address. We can also limit orders that appear to involve resale.

If we cancel a charged order, we will refund the full charge to the original payment method. An order confirmation is not acceptance.

8.4 Pricing Practices and Advertising Compliance

We identify the basis for a reference price when the context does not make that basis clear. We use a former PatchAid price only when we offered the Product at that price in good faith.

A manufacturer suggested retail price or market price refers to that stated comparison, not to a former PatchAid price. We keep records that support advertised savings claims.

8.5 No Guarantee of Lowest Price

We do not promise the lowest market price. A reference price shows only the comparison that we identify with that price.

8.6 Sales Tax, Duties, and Fees

Applicable sales tax is added to your order at checkout based on your shipping address and as required by law. The tax charged is displayed during checkout. For international orders, you are responsible for any additional taxes, duties, or customs fees imposed upon delivery and for complying with your local import laws.

8.7 Pre-Orders and Backorders

If you place a pre-order or a Product is backordered, we will notify you of the expected shipping date. Your payment method will be charged at the time of order or when the Product becomes available, depending on the option selected at checkout.

8.8 Order Cancellation by PatchAid

We can cancel an order because of an error, suspected fraud, a quantity limit, Product availability, or a delivery restriction.

If we cancel the order, we will refund the full amount charged.

Back to Table of Contents

9. Subscriptions and Automatic Renewal

9.1 How Subscriptions Work

We can offer Subscriptions, auto-ship plans, or subscribe-and-save plans. The following terms apply when you enroll.

  • Disclosure before billing. We disclose the Products, recurring price, billing interval, renewal terms, and cancellation method before we collect billing information.
  • Express affirmative consent. You must provide express affirmative consent to the recurring charge, separately from your agreement to these Terms. Your consent to these Terms alone does not enroll you in any Subscription.
  • Automatic renewal. Your Subscription automatically renews at the then-current price for each billing cycle, at the frequency and interval disclosed at enrollment, until you cancel. You authorize us and our payment processor to charge your payment method on that recurring basis.
  • Acknowledgment and reminders. We send the Subscription terms and cancellation information after enrollment. We also send each notice that applicable law needs.
  • Price changes. A Subscription price can change. We will give advance notice and get consent when law requires consent.

9.2 Cancellation

You can cancel a Subscription at any time without a fee. You do not need to speak to a representative.

Cancel through the customer account portal. You can also email hello@patchaid.com or call (866) 230-3615.

Cancellation stops future Subscription charges. It does not cancel an order that entered fulfillment before we received the cancellation request.

The customer account portal shows the order status. Contact us promptly if you want to cancel a pending order. Nothing in this Section limits a nonwaivable cancellation or refund right.

9.3 Automatic Renewal Law Compliance

Nonwaivable federal and state subscription laws control if they give you more rights than this Section.

9.4 Modification, Suspension, and Payment Failure

You can change available Subscription options in the customer account portal. We can pause a Subscription after a failed payment and notice.

We can change, suspend, or end a Subscription program. We will give notice when law requires it.

Back to Table of Contents

10. Shipping and Delivery

10.1 Shipping Costs

We calculate shipping fees at checkout. The fee depends on the destination, order weight, and selected shipping method.

Shipping fees are not refundable unless our error caused the charge. Our Shipping Policy and Return Policy govern promotional-shipping deductions.

10.2 Delivery Times and Restrictions

Checkout delivery dates are estimates, not guarantees. A carrier delay, weather event, or customs process can change the delivery date.

Shipping restrictions can apply to a destination or Product. We can cancel an order that we cannot lawfully deliver.

10.3 Risk of Loss

Title passes to you when we deliver the Product to the carrier. This rule does not limit a remedy that our policies or applicable law gives you.

If a package is lost or damaged in transit, contact us promptly. We will examine the shipment and provide the remedy stated in our Shipping Policy.

10.4 Lost or Stolen Packages

If a package is lost or stolen, contact us promptly through our Contact Us page. We can request information that helps us examine the delivery.

A carrier delivery scan does not automatically resolve a claim. We will apply our Shipping Policy and all rights that applicable law gives you.

10.5 Weather-Related Damage

Weather can affect a shipment. Retrieve the shipment promptly after delivery and store each Product as its label directs.

Contact us promptly if weather damages a Product in transit. Our Shipping Policy and Return Policy state the available remedies.

Back to Table of Contents

11. Returns, Refunds, and Store Credit

11.1 Our Return Policy Governs

Our Return Policy governs returns, refunds, exchanges, and store credit. The version presented at purchase applies to that order.

Section 11.2 summarizes that policy. The Return Policy controls eligibility, deadlines, fees, and exclusions. Nonwaivable refund and warranty rights remain in effect.

11.2 Summary of Our Return Policy

Returns are accepted within 30 days of delivery. Unopened items in their original sealed packaging are eligible for a refund to your original payment method or store credit for the product price. Opened items are eligible for store credit or an exchange for a different PatchAid product, as long as no more than one patch is missing. Original shipping and handling costs are not refunded. A Return Merchandise Authorization (RMA) number is required before shipping any return.

Orders that violate Section 12 are not eligible for returns, refunds, store credit, or exchanges unless PatchAid approves a return exception under Section 12.4. An approved exception requires the buyer to pay return shipping and a 20% restocking fee as described in that Section and in our Return Policy. Returns are otherwise available only for personal-use purchases made in good faith.

11.3 Return Authorization

Contact our customer service team before shipping anything back so that we can help you complete the return correctly. Where our Return Policy requires a Return Merchandise Authorization (RMA) number, that number must be obtained before the return is shipped and must appear on the shipping label. Returns sent without a required authorization may be refused.

11.4 Refund and Store Credit Processing

Refunds and store credit are processed within 7 to 10 business days after we receive and inspect the return.

A bank or card issuer can need more time to post a refund. The Return Policy governs shipping costs, duties, taxes, and disclosed deductions.

11.5 Return Shipping

You are responsible for return shipping costs unless the return is due to our error or our Return Policy provides a prepaid return label. Package returned items carefully, because we cannot issue refunds or credits for products damaged during return shipping. We recommend using a trackable and insured shipping method, as we cannot refund items lost or damaged in return transit.

11.6 Damaged, Defective, or Incorrect Items

If a Product arrives damaged or defective, contact us within 7 days after delivery. Include the order number and photographs that show the problem.

This notice period does not reduce a nonwaivable warranty or consumer right.

If you receive the wrong Product, contact us promptly and do not open it. The Return Policy governs replacement, refund, and shipping costs.

11.7 Refused and Undeliverable Packages

If a package is returned to us for any reason, including refusal or unsuccessful delivery attempts, you are responsible for the carrier charges and any additional fees disclosed in our Return Policy, and you are responsible for reshipping costs if you ask us to send the order again.

11.8 Human Review of Returns

Return and cancellation requests are reviewed by our customer service team. Eligibility is determined under our Return Policy and these Terms.

Back to Table of Contents

12. Personal Use Only and Resale Restrictions

WARNING: Do not buy PatchAid Products to resell on Amazon, Walmart, eBay, or any other third-party marketplace. Only PatchAid and sellers with PatchAid's signed written authorization can sell PatchAid Products on these marketplaces.

If you buy Products for resale, your order is not eligible for returns or refunds unless PatchAid approves a return exception under Section 12.4. PatchAid will close your Account and can sue you for damages, your resale profits, and attorneys' fees.

12.1 Personal Use Only

Products sold through the Services are only for personal use by you and your household. You can give a Product to another person as a personal gift.

When you place an order, you represent that you buy the Products for personal use and not for resale. PatchAid relies on this representation when it accepts your order and sets your price.

If this representation is false, you got the order and each discount on it through misrepresentation. PatchAid can use every remedy that the law gives for misrepresentation.

12.2 Prohibited Resale Activities

Unless you have a current written authorization that PatchAid signed, you must not do these actions:

  • Sell, offer, or list a Product on a third-party marketplace, for example, Amazon, Walmart, or eBay
  • Sell, offer, or list a Product on TikTok Shop, Temu, Facebook Marketplace, or another website, app, or social-media channel
  • Sell or supply a Product to a person or business that you know, or have reason to know, intends to resell it
  • Buy a Product for, or at the direction of, a reseller or another person who intends to resell it
  • Send a Product to a marketplace fulfillment center, a prep center, a freight forwarder, or a similar service for resale
  • Use a Subscription, promotion, discount code, bundle, or reward to buy Products for resale
  • Use more than one Account, name, email address, payment method, or address to avoid a quantity limit or this Section
  • Remove, change, cover, or relabel a Product or its packaging, lot code, expiration date, label, or insert
  • Use PatchAid trademarks, product images, or product descriptions to sell or promote a Product

Each unit that you resell and each listing that you publish is a separate violation of this Section.

12.3 Written Authorization

PatchAid does not operate a general authorized-reseller program. A seller has authorization only if PatchAid signed a current written authorization for that seller.

An authorization applies only to the Products, sales channels, territories, and dates that the signed authorization states. An order confirmation, an invoice, or an oral statement is not an authorization.

A purchase through a PatchAid wholesale channel does not give the right to sell Products on an online marketplace unless a signed authorization states that right.

Contact legal@patchaid.com to ask whether a seller has authorization.

12.4 Returns on Resale Orders

Orders that violate this Section are not eligible for returns, refunds, store credit, exchanges, or the Best Price Guarantee. PatchAid may approve a return exception as described below. Buyers have no right to an exception.

After PatchAid ships the order, you keep the Products unless PatchAid approves a return exception in writing. Without that approval, PatchAid will not accept a return of those Products, opened or unopened.

PatchAid does not know how a Product was stored or handled after it leaves our warehouse. For safety and quality reasons, PatchAid does not resell a Product after it leaves our warehouse.

This rule also applies to Products sent to Amazon or any other third-party seller or fulfillment center, Products listed or sold on third-party websites or marketplaces, and Products returned through marketplace removal orders. Returns sent without PatchAid's prior written approval and an RMA number may be refused. If PatchAid receives an unauthorized return, PatchAid can dispose of the Products. You will not get a refund, store credit, exchange, or other payment for an unauthorized return.

If PatchAid makes an exception and approves a return, the buyer is responsible for all return shipping costs and a restocking fee equal to 20% of the price actually paid for the returned Products, excluding taxes and shipping. The restocking fee will be deducted from any refund or store credit. All exceptions require PatchAid's written approval and an RMA number before the Products are shipped back. Approving a return does not authorize resale or waive our resale restrictions. See the Purchases made for resale section of our Return Policy. These restrictions and fees apply only to the extent permitted by applicable law.

You must not file a chargeback or payment dispute to avoid this Section. PatchAid will contest the dispute and give the payment provider these Terms and your order records.

If a payment provider reverses a charge on an order that violates this Section, you must pay PatchAid the reversed amount and the fees that PatchAid paid for the dispute.

This Section does not limit a consumer, warranty, or chargeback right that applicable law does not let you waive.

12.5 Quality Controls and Unauthorized Sellers

PatchAid applies quality controls to Products that PatchAid and its authorized sellers sell. These controls include storage and handling standards, lot-code and expiration-date control, recall and safety notices, and customer support.

PatchAid cannot apply these controls to Products that an unauthorized seller sells. PatchAid does not know how an unauthorized seller stores or handles Products, or who buys from that seller. Thus, PatchAid cannot send recall or safety notices to those buyers.

Products that an unauthorized seller sells are materially different from Products that PatchAid sells. Our Return Policy applies only to purchases made directly through patchaid.com. Purchases made from other retailers or marketplaces are governed by that seller's policy.

12.6 Orders That Violate This Section

If facts reasonably show that an order is for resale, PatchAid can take one or more of these actions without notice:

  • Hold, reject, or cancel the order before shipment
  • Cancel your other open orders and end your Subscriptions
  • Close your Account and refuse future orders from you, your household, your addresses, and your payment methods
  • Cancel your rewards points, referral credits, unused discount codes, and promotional prices

PatchAid will refund the amount charged for an order that PatchAid cancels before shipment.

12.7 Recovery of Discounts

Subscription prices, bundle prices, promotional prices, discount codes, and rewards are available only for personal-use purchases.

If an order violates this Section, you must pay PatchAid the full discount that you received on each Product in that order. The discount is the difference between the price that you paid and the regular one-time purchase price on the PatchAid website on the order date.

12.8 Damages, Profits, and Attorneys' Fees

If you violate this Section, you must pay PatchAid for the damages that the violation causes. These damages include lost sales, harm to PatchAid's brand and goodwill, and the costs to investigate the violation, make test purchases, and remove marketplace listings.

PatchAid can also recover the profits that you received from the resale when applicable law permits that remedy.

If PatchAid prevails on a claim to enforce this Section, you must also pay PatchAid's reasonable attorneys' fees and costs. This paragraph controls if it conflicts with another Section of these Terms.

PatchAid will seek each remedy that the law permits against each person who violates this Section.

12.9 Injunctive Relief

You agree that unauthorized resale causes irreparable harm to PatchAid. You also agree that money damages alone cannot fully correct that harm.

PatchAid can ask a court for a temporary restraining order, a preliminary injunction, a permanent injunction, or other equitable relief to stop a violation. To the extent that applicable law permits, PatchAid does not need to post a bond or prove actual damages to get this relief.

12.10 Court Claims

Either party can bring a claim that arises from this Section in court instead of arbitration, as Section 19.10 states. Section 19.2 governs the venue for that claim.

12.11 Purchases for Another Person or Business

If you buy Products for another person or business, you accept these Terms for that person or business. You represent that you have the authority to do this.

You and that person or business are jointly and severally liable for a violation of this Section, to the extent that applicable law permits. You are also responsible for a violation by a person who uses your Account.

14.1 Third-Party Tools and Services

The Services use third-party providers for commerce, payments, Subscriptions, messaging, and analytics. Their own terms and policies can govern your direct use of their services.

We do not control an independent third-party service. This Section does not disclaim responsibility for our own acts, vendor choices, data practices, or legal duties.

14.2 Affiliate, Referral, and Partner Programs

PatchAid participates in affiliate, referral, and partner programs. When you purchase products or services through our affiliate links, or when a partner refers you to us, PatchAid or the partner may receive a commission or other compensation. Where we have a material connection with a party whose products or services we promote, we disclose that connection as required by law, including the Federal Trade Commission's Endorsement Guides. While we aim to work with reputable companies, PatchAid does not endorse or assume responsibility for the content, products, or services provided by these third parties. All interactions with affiliate and partner companies are governed by the third party's own terms, policies, and conditions.

If we name a specific partner on our website or in these Terms, that reference is informational and does not make PatchAid responsible for the partner's products, services, pricing, clinical decisions, or conduct. Any dispute regarding a partner's products or services must be addressed directly with that partner.

Our Services may contain links to third-party websites or services outside our control, and may feature third-party content such as blog posts, reviews, or guest contributions. These are provided for convenience and information only and do not constitute our endorsement. We do not guarantee the accuracy, completeness, or reliability of third-party content and disclaim responsibility for errors or omissions in that material. Any use of, or reliance on, third-party websites or content is at your own discretion and risk. We encourage you to review the applicable third party's terms, privacy policies, and data-sharing practices before engaging.

14.4 Limitation of Liability in Affiliate Relationships

A third-party provider is responsible for its products, services, and conduct. Contact that provider about a purchase from that provider.

PatchAid remains responsible for its own statements and conduct to the extent that applicable law provides.

18. Warranty Disclaimers, Limitation of Liability, and Indemnification

18.1 Disclaimer of Warranties

TO THE MAXIMUM EXTENT THAT LAW PERMITS, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” WE DO NOT PROMISE UNINTERRUPTED OR ERROR-FREE OPERATION.

TO THE MAXIMUM EXTENT THAT LAW PERMITS, WE DISCLAIM IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

A PRODUCT LABEL, WRITTEN WARRANTY, OR NONWAIVABLE LAW CAN GIVE YOU MORE RIGHTS. THESE TERMS DO NOT LIMIT THOSE RIGHTS.

18.2 Limitation of Liability

TO THE MAXIMUM EXTENT THAT LAW PERMITS, PATCHAID WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES.

THIS EXCLUSION INCLUDES LOST PROFITS, GOODWILL, DATA, USE, AND OTHER INTANGIBLE LOSSES RELATED TO THE TERMS, SERVICES, OR PRODUCTS.

18.3 Cap on Liability

TO THE MAXIMUM EXTENT THAT LAW PERMITS, OUR TOTAL LIABILITY FOR CLAIMS ABOUT THE TERMS, SERVICES, OR PRODUCTS WILL NOT EXCEED YOUR PAYMENTS TO PATCHAID.

THE PAYMENT PERIOD IS THE 12 MONTHS BEFORE THE EVENT THAT CAUSED THE CLAIM.

The cap applies to all legal theories. Section 18.4 states the exceptions.

18.4 Exceptions to the Limitations

The limitations and exclusions in this Section 18 do not apply to:

  • Death, bodily injury, or property damage caused by a defective Product or our negligence;
  • Our gross negligence, willful misconduct, fraud, or fraudulent misrepresentation;
  • A written Product warranty that expressly applies; or
  • A liability or consumer right that law does not permit us to limit or exclude.

Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability for incidental or consequential damages. In those jurisdictions, some or all of the above limitations may not apply to you, and our liability is limited to the maximum extent permitted by law.

18.5 Indemnification

If you use the Services for a business purpose, you will defend and indemnify PatchAid against a third-party claim caused by:

  • Your unlawful use of the Services;
  • Your User-Generated Content; or
  • Your knowing infringement of another person's rights.

This duty does not apply to a personal, family, or household use unless applicable law permits it. PatchAid will give prompt notice and reasonable control of the defense.

Back to Table of Contents

19. Governing Law, Dispute Resolution, and Arbitration Agreement

Please read this Section carefully. It affects your legal rights, including your right to a jury trial and your right to participate in a class action.

19.1 Governing Law

New York law and the Federal Arbitration Act govern these Terms and each related dispute, claim, or controversy (each, a "Dispute").

This choice does not remove a nonwaivable protection from the law of your residence. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

19.2 Jurisdiction and Venue

A Dispute that is not subject to arbitration must proceed in a state or federal court in Albany County, New York.

This venue rule does not remove a nonwaivable right to bring a claim in another forum.

19.3 Informal Resolution, Negotiation, and Mediation

Before arbitration, the claimant must send a written Dispute Notice. The notice must describe the facts, the claimed harm, and the requested relief.

The parties will try in good faith to resolve the Dispute for 30 days after receipt. Applicable limitation periods pause during this process.

After 30 days, either party can propose voluntary mediation. The mediation can occur remotely. The parties will share the mediator's fees unless they agree otherwise.

19.4 Agreement to Arbitrate

Except as Section 19.10 states, you and PatchAid agree to individual binding arbitration administered by the American Arbitration Association ("AAA").

The AAA Consumer Arbitration Rules and applicable supplementary rules govern. You can get the rules at adr.org or 1-800-778-7879.

The Federal Arbitration Act, 9 U.S.C. section 1 et seq., governs this Arbitration Agreement. A nonwaivable state law can also apply.

The arbitrator will decide the scope, interpretation, and enforceability of this Arbitration Agreement. A court will decide whether the parties formed an agreement.

A court will also decide the enforceability of Section 19.8 and a request for public injunctive relief.

19.5 Jury Trial Waiver

YOU AND PATCHAID EACH KNOWINGLY AND VOLUNTARILY WAIVE A JURY TRIAL FOR A DISPUTE THAT PROCEEDS IN COURT, TO THE EXTENT THAT LAW PERMITS THIS WAIVER.

19.6 Arbitration Process, Fees, and Location

To start arbitration, a party must send the other party a written Demand for Arbitration that complies with the AAA Rules.

The AAA Rules govern filing, administration, and arbitrator fees. PatchAid will pay the amounts that those rules require PatchAid to pay.

For a claim under $10,000, PatchAid will reimburse those fees unless the arbitrator finds that the claim is frivolous.

Each party will pay its own attorneys' fees unless a statute, the AAA Rules, or the arbitrator's bad-faith finding provides otherwise.

For claims under $10,000, arbitration can occur by telephone, video, written submissions, or an in-person hearing.

For claims of $10,000 or more, the arbitrator selects the format. An in-person hearing will occur in your county of residence or another agreed location.

19.7 Arbitrator's Authority and Decision

The arbitrator will issue a written award with the essential findings and conclusions. The arbitrator can grant relief available under applicable law for the individual claimant.

The award is final and binding, subject to the review that law permits. A court with jurisdiction can enter judgment on the award.

19.8 Class Action Waiver

YOU AND PATCHAID AGREE THAT EACH CAN BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, NOT AS A PLAINTIFF OR CLASS MEMBER IN A CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. Unless both parties agree in writing, the arbitrator cannot consolidate claims or preside over a class or representative proceeding. You and PatchAid waive the right to:

  • Seek or participate in a class action, class arbitration, or other representative action;
  • Join or consolidate claims with the claims of any other person or entity; or
  • Pursue any claim on a representative basis.

If this Class Action Waiver is found unenforceable as to a particular claim or request for relief, then that claim or request for relief, and only that claim or request for relief, shall be severed and brought in court, while all other claims proceed in arbitration. This waiver survives any termination of these Terms or of your relationship with PatchAid.

Nothing in this Section waives a right to seek public injunctive relief when applicable law does not permit that waiver. A court will decide a request for that relief.

19.9 Coordinated Filings and Batching

The AAA Mass Arbitration Supplementary Rules govern a group of demands that meets the rules' definition of a Mass Arbitration.

The parties will cooperate with the process that those rules provide. Applicable limitation periods pause as those rules or applicable law require.

19.10 Exceptions to Arbitration; Remedies in Aid of Arbitration

Either party can bring an eligible individual claim in small claims court. Either party can seek court relief to protect intellectual-property rights. Either party can also bring a claim that arises from Section 12 (Personal Use Only and Resale Restrictions) in court.

You can contact or file a complaint with a government agency. Either party can also ask a court for temporary relief that supports arbitration.

19.11 30 Day Right to Opt Out

You may opt out of this Arbitration Agreement within thirty (30) days of the date you first accept these Terms by sending a written notice ("Opt-Out Notice"). Your Opt-Out Notice must include your full name, your address, and a clear statement that you wish to opt out of arbitration. Send your Opt-Out Notice by email to legal@patchaid.com or by mail to:

PatchAid
Attn: Legal Department
25 Corporate Circle, Suite 118
Albany, New York 12203

If you opt out, you retain the right to bring claims in court and to participate in a class action against PatchAid. Opting out of this Arbitration Agreement does not affect any other provision of these Terms.

19.12 Confidentiality of Proceedings

A party must protect nonpublic information received through negotiation, mediation, or arbitration. This duty does not cover information already lawfully known or publicly available.

A party can disclose information to legal advisers, insurers, auditors, regulators, law-enforcement agencies, or a court. A party can also make a disclosure that law requires.

19.13 Applicable Limitations Period

The limitations period that applicable law provides governs each claim. Sections 19.3 and 19.9 pause that period as stated in those Sections.

19.14 Severability and Survival of This Section

If a provision of Section 19 is unenforceable, the decision-maker will remove only that provision. The rest of Section 19 will remain in effect.

If Section 19.8 is entirely unenforceable for a claim, the Arbitration Agreement will not apply to that claim. Section 19 survives termination of these Terms.

19.15 International Sales and Regulatory Compliance

If you purchase from outside the United States, Sections 19.1 and 19.2 apply unless local law gives you a nonwaivable right.

You are responsible for local import rules, duties, and taxes that apply to your purchase. This duty does not transfer PatchAid's legal duties to you.

19.16 Notices

Any notice required or permitted under this Section 19 shall be in writing and delivered by email, certified mail, or courier to the addresses provided in these Terms or as updated by written notice. Notices to PatchAid should be sent to:

We may also limit access to the Services or terminate the accounts of any user who infringes the intellectual property rights of others, whether or not there is repeat infringement.

20.5 Legal Counsel, False Claims, and Additional Information

We can send a notice or counter-notice to the affected parties. For more information, visit the U.S. Copyright Office website at copyright.gov.
